Please read these Terms of Service ("Terms") carefully before using Zenvaio's website or engaging our services. By accessing our website at zenvaio.com or entering into a service agreement with Zenvaio, you agree to be bound by these Terms.

1. Services

Zenvaio provides AI automation systems including, but not limited to, AI voice agents, automated workflows, lead follow-up systems, appointment booking automation, and related consulting and implementation services (collectively, the "Services").

The specific scope, deliverables, timelines, and fees for each engagement will be outlined in a separate service agreement or proposal agreed upon by both parties.

2. Use of Our Website

You agree to use our website only for lawful purposes. You must not:

• Use the site in any way that violates applicable laws or regulations
• Attempt to gain unauthorised access to any part of our systems
• Transmit any unsolicited or unauthorised advertising material
• Reproduce, duplicate, or copy our content without written permission

3. Intellectual Property

All content on this website — including text, graphics, logos, and software — is the property of Zenvaio and is protected by applicable intellectual property laws. You may not use, reproduce, or distribute any content without our prior written consent.

Upon full payment for a project, clients receive a licence to use the AI systems and automations built for them. Zenvaio retains ownership of any underlying frameworks, templates, or proprietary methodologies used in delivering the Services.

4. Client Responsibilities

By engaging Zenvaio's services, you agree to:

• Provide accurate and complete information required to deliver the Services
• Ensure your use of AI systems complies with all applicable laws, including consumer protection, privacy, and telecommunications regulations in your jurisdiction
• Inform your customers or contacts when they are interacting with an AI agent, where required by law
• Not use Zenvaio's systems for illegal, deceptive, or harmful purposes
• Maintain the security of any API keys, credentials, or access information provided during the engagement

5. Payment Terms

Payment terms are outlined in your individual service agreement. Unless otherwise agreed:

• A deposit may be required before work commences
• Invoices are due within 14 days of issuance
• Late payments may result in pausing of services
• All fees are non-refundable once work has commenced, unless otherwise stated in writing

6. AI Systems — Disclaimers

AI systems involve inherent limitations and variability. While we design and build systems to perform reliably, Zenvaio does not guarantee:

• Specific conversion rates, revenue outcomes, or business results
• Uninterrupted, error-free operation of third-party platforms (e.g., Retell AI, Make.com, Cal.com)
• That AI-generated responses will be 100% accurate in all circumstances

You are responsible for monitoring your AI systems and reviewing their outputs on an ongoing basis.

7. Limitation of Liability

To the fullest extent permitted by law, Zenvaio shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Services or website. Our total liability in connection with any claim shall not exceed the fees paid by you to Zenvaio in the three months preceding the claim.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement and not to disclose such information to third parties without prior written consent, except as required by law.

9. Termination

Either party may terminate a service engagement with written notice as specified in the relevant service agreement. Zenvaio reserves the right to suspend or terminate access to services immediately if you breach these Terms or engage in conduct that is unlawful or harmful.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.

11. Changes to These Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our services after changes are posted constitutes your acceptance of the revised Terms.
